AurumOne
Terms of Service
The agreement between Aurum Enterprise Solutions and each company that subscribes to AurumOne, our payroll, attendance and HR service.
Version 2026-10-07 · effective
AurumOne pricingThese Terms are the agreement between Aurum Enterprise Solutions and the company that uses AurumOne. Please read them before you accept them. They are written to be read by a business owner, not only by a lawyer.
1. Who we are
AurumOne is an online payroll, attendance and HR service run by Aurum Enterprise Solutions, a sole proprietorship based in India. Our address is at the end of these Terms. In these Terms, "we", "us" and "our" mean Aurum Enterprise Solutions.
2. Words used in these Terms
- Service means AurumOne: the web application, its features, the attendance-terminal connection and the support we give for it.
- Client means the company, firm or other business that has an account on the Service.
- Users means the people the Client allows to sign in to its account: owners, administrators, HR and payroll staff, managers and Employees with portal access.
- Employees means the Client's employees, contract workers and other people whose records the Client keeps in the Service.
- Client Data means everything the Client or its Users put into the Service, or that the Client's attendance terminals send to it: employee records, attendance punches, leave, salary, bank and statutory details, documents and reports.
- Workspace means the Client's own part of the Service, kept separate from every other client's.
3. Accepting these Terms
These Terms are accepted on behalf of the Client by the person who ticks the acceptance box in the Service. By accepting, that person confirms that they have the authority to bind the Client. If they do not have that authority, they must not accept.
The Client accepts these Terms together with our Privacy Policy and our Refund and Cancellation Policy. When we publish a new version of a document that needs acceptance, the Service asks the Client's billing administrator to accept it.
4. The Service and the plans
- The Service is offered on two plans, Basic and Full. Basic covers a fixed set of roles and a smaller set of reports and settings. Full covers everything the Client's account includes. What each plan includes is shown in the Service, and we will tell the Client on request.
- Some features are optional and are switched on for an account only when the Client asks for them and we agree.
- We improve the Service over time, and we may add, change or remove features. We will not remove a significant feature of the Client's plan without telling the Client first. If we do and the Client no longer wants the Service, the Client may cancel, and any unused annual credit is refunded as described in our Refund and Cancellation Policy.
- We may offer the Service either in a shared database or, for a higher price, in a database reserved for the Client (dedicated hosting). Both have the same features.
5. Accounts and Users
- The Client decides who its Users are and what role each one has. The Client is responsible for everything done through its Users' accounts.
- Each User must have their own sign-in and keep their password private. Accounts must not be shared.
- The Client must remove access promptly for anyone who leaves or should no longer have it.
- The Client must tell us at once at support@aurumtech.in if it believes an account has been misused or a password has become known to someone else.
- When the Client asks for help, our support staff may sign in to the Client's Workspace as a User, for a limited time and for that purpose only. Every such session is shown in the Service and recorded under both names.
6. Trial and going live
- We may offer a free trial for a period we tell the Client when it starts. A trial normally uses the Full plan. No fees are charged for a trial.
- When a trial ends, access stops. Unless the Client goes live, everything entered during the trial is deleted after a short grace period. We email the Client before that happens.
- When the Client goes live, it may keep the data entered during the trial or start with an empty Workspace. Billing starts on the date the account goes live.
7. Fees and billing
- Price. The Service is priced at a fixed monthly amount for each slab of employees, on the Basic or Full plan. The current price list is on our Pricing page, at aurumtech.in, and in the Service.
- How Employees are counted. On each day, every Employee who has joined and not yet left counts as one. If the Client uses the contract-workers feature, each active contract worker counts as 0.5. The day's counts are averaged over the days billed in the month and rounded to a whole number, half up. That average picks the slab. An account with no Employees still pays for the first slab.
- Billed monthly, in arrears. We invoice on the 1st of each month for the month just ended. Each invoice is due 15 days after it is issued. Invoices are sent by email to the Client's billing email and are available in the Service.
- Part months. For a month in which the account was live for only some days, the slab price is charged for those days only: the monthly price × days billed ÷ days in the month. If the plan or hosting changes in a month, each part is priced for its own days, and the slab comes from the whole month's average.
- Dedicated hosting costs 50% more than the shared price for the same plan and slab, rounded to the rupee.
- Paying a year ahead. Where we offer it, the Client may pay in advance for 12 months of credit at 10% off. The price and the credit are worked out from the account's recent monthly price and shown before the Client pays. The credit is a rupee amount: each monthly invoice is paid from it until it is used up, so it lasts longer or shorter than 12 months if the number of Employees falls or grows. Credit does not expire, but it cannot be transferred to another account or person, and it is refunded only as our Refund and Cancellation Policy describes.
- How to pay. Each invoice can be paid online through the payment link we send, which is handled by our payment partner, or by bank transfer to the account printed on the invoice. Part payments are accepted against the balance. Money paid in excess is kept as credit for the next invoice.
- What is billed. Days on which the Workspace is locked for non-payment are billed. Days on which we have suspended the Workspace for any other reason are not.
8. Taxes
- Aurum Enterprise Solutions is not registered under GST, so no GST is charged on its invoices.
- Our prices do not include GST. If we register under GST, GST at the rate the law sets will be added to invoices issued from the date of our registration. We will tell the Client by email before that happens. Invoices issued before that date are not changed.
- The Client should give us its correct legal name, address, state and GSTIN (if it has one) for its invoices.
- If the Client deducts tax at source (TDS) from a payment, we accept the payment net of TDS against the invoice. The Client must deposit the TDS with the government on time and give us the TDS certificate within the time the law sets. If the TDS does not appear in our tax records, the Client must pay that amount to us.
9. Late payment
If an invoice is not paid by its due date, the following happens. Days are counted after the due date.
- At 7 days we send a reminder to the billing email and to the Client's account owners.
- At 14 days we send a second reminder, which names the date the Workspace will lock.
- From 15 days the account is marked overdue and Users with billing access see a notice in the Service.
- From 30 days the Workspace is locked. Users can still sign in, see the lock notice and sign out, and those with billing access can see and pay what is owed. Everything else in the Workspace is unavailable. Attendance terminals keep sending punches and the Service keeps recording them, so no attendance is lost.
- The Workspace unlocks as soon as the payment is recorded. A payment through our online payment link is recorded automatically. A bank transfer is recorded when it reaches us.
Disputes. If the Client believes an invoice is wrong, it should tell us in writing at support@aurumtech.in before the invoice is due, or as soon as it finds the problem. While we look into it, the disputed invoice is put on hold: it does not lead to reminders or a lock. If the invoice was wrong, we correct it with a credit note. If it was right, it becomes payable again and the steps above resume.
We may, at our discretion, give more time to pay. Doing so once does not oblige us to do it again.
10. Price changes
- We may change our prices. We will tell the Client by email at least 30 days before a change applies.
- A change applies from the first billing month that starts at least 30 days after our email.
- A price change does not apply while the Client's account still holds annual credit it paid for. The account moves to the new price once that credit is used up.
- If the Client does not accept a change, it may cancel before the change applies, and it will not pay the new price.
11. Client Data
- The Client owns its Client Data. Nothing in these Terms gives us ownership of it.
- We use Client Data only to provide, support, secure and improve the Service for the Client, and on the Client's instructions. We do not sell it, and we do not use it for advertising.
- We may disclose Client Data if the law, a court or a government authority requires it. Where the law allows, we will tell the Client first.
- How we handle personal data within Client Data is set out in the Schedule at the end of these Terms.
12. The Client's responsibilities
- Lawful basis and notices. The Client is responsible for having a lawful basis to collect and use its Employees' personal data, and for giving Employees any notice and obtaining any consent the law requires. This includes biometric attendance: the Client must tell Employees how fingerprint, face or other biometric terminals are used and obtain any consent the law requires.
- Statutory numbers. The Client should enter Aadhaar numbers and other identifiers only where the law allows it to collect them.
- Accuracy. The Client is responsible for the accuracy of the data it enters and of the settings it chooses, such as salary structures, attendance rules and leave rules.
- Compliance stays with the Client. The Service is a tool. Payroll, PF, ESIC, professional tax, TDS, minimum wages and every other labour or tax law remain the Client's responsibility. The Client must review salaries, deductions, statutory figures and reports before it pays anyone or files anything. We are not the Client's payroll, tax or legal adviser.
- Its own equipment. The Client is responsible for its computers, internet connection and attendance terminals, and for keeping them secure.
13. Acceptable use
The Client and its Users must not:
- use the Service for anything unlawful, or to store data the Client has no right to hold;
- try to reach another client's data, or test, probe or bypass the Service's security;
- upload viruses or other harmful code;
- overload the Service, or use automated tools to scrape it, except through features we provide for that purpose;
- copy, resell, rent or reverse-engineer the Service, or build a competing product from it;
- remove notices of our ownership from the Service.
14. Security and backups
- We protect the Service and Client Data with reasonable security practices, including encrypted connections, separation of each Client's data in the database, role-based access, audit records and restricted staff access.
- We back up the databases every night. The backups are encrypted and kept for a limited period, as described in our Privacy Policy.
- No system is perfectly secure, and we cannot promise that the Service will never be breached or lose data. If a breach affects Client Data, we will tell the Client as the Schedule describes.
15. Availability and support
- We use commercially reasonable efforts to keep the Service available and working. We do not promise any particular uptime percentage.
- We may need to take the Service offline for maintenance. Where practical, we announce planned maintenance in advance and schedule it outside normal working hours.
- Support is by email at support@aurumtech.in, and by WhatsApp on business days. We aim to answer promptly during business hours.
- The Service depends on the internet and on services run by others, such as hosting, email and payment providers. We are not responsible for their failures, though we will work to limit the effect on the Client.
16. Suspension
We may suspend access to the Workspace, in whole or in part:
- for non-payment, as described in section 9;
- if we reasonably believe there is a security threat to the Service, to the Client or to other clients, for as long as needed to deal with it;
- if the Service is being used unlawfully or in serious breach of section 13; or
- if the law or an authority requires it.
Where practical, we will tell the Client first and give it a chance to put things right. Suspension does not delete Client Data.
17. Cancellation and termination
- By the Client. The Client may cancel at any time by writing to support@aurumtech.in from its billing email. Cancellation takes effect on the date the Client asks for, or at the end of the day we receive the request if no date is given. The Client pays for the days up to and including that date, invoiced on the 1st of the following month. There is no cancellation fee.
- By us, for breach. We may end these Terms if the Client is in material breach, including non-payment, and does not put it right within 15 days of our written notice.
- By us, for convenience. We may end these Terms by giving the Client 30 days' written notice. We will then refund any unused annual credit in proportion to what the Client paid for it.
- After the end. Client Data is kept for 30 days after the end date so the Client can export it. During that time we will, on request, give the Client access to export its data or send it a copy in a common format. After 30 days the Client Data is deleted from the live Service, and the remaining copies in our backups are removed as those backups expire.
- Records we must keep. Invoices, credit notes and payment records are kept for 8 years, as Indian tax law requires.
- Any amount the Client owes stays payable after the end. Sections 8, 11, 17 to 23, 26 and 27 and the Schedule continue to apply after the end.
18. Confidentiality
Each of us will keep the other's confidential information private and use it only for the purpose of these Terms. Confidential information includes Client Data, our non-public prices and terms, and anything else marked or reasonably understood as confidential. This does not cover information that is already public, that the other party already had lawfully, or that the law requires to be disclosed. Our staff who can access Client Data are bound to keep it confidential.
19. Intellectual property
- We own the Service, its software, designs and documentation, and all rights in them.
- While the Client's subscription lasts and the Client keeps to these Terms, we give the Client a non-exclusive, non-transferable right for its Users to use the Service for the Client's own business.
- If the Client or its Users send us suggestions or feedback, we may use them to improve the Service without any obligation to the Client.
20. No other promises
We provide the Service with reasonable skill and care. Apart from what these Terms say, the Service is provided "as is" and "as available". To the extent the law allows, we make no other promises, including that the Service will be free of errors or interruptions, or that it will meet every need of the Client's business. Calculations depend on the data and settings the Client enters, and must be reviewed as section 12 says.
21. Limitation of liability
- Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or goodwill, however it arises.
- Our total liability to the Client under or in connection with these Terms is limited to the fees the Client paid us in the 12 months before the event that gave rise to the claim.
- This section does not limit the Client's duty to pay our fees, or any liability that cannot be limited under Indian law, such as liability for fraud.
22. Indemnity
- The Client will compensate us for losses, costs and claims by others that arise from Client Data the Client had no right to give us, or from unlawful use of the Service by the Client or its Users.
- We will compensate the Client for losses, costs and claims by others that the Service itself, used as these Terms allow, infringes their intellectual property rights.
- The party seeking to be compensated must tell the other promptly, let it handle the defence, and help reasonably.
23. Events beyond our control
Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as natural disasters, epidemics, war, riots, government action, power or internet failures, or failures of hosting or other providers. This does not excuse a payment that is due.
24. Changes to these Terms
We may update these Terms. Each version carries a date. When we make a new version, the Service shows it to the Client's billing administrator for acceptance. For a material change, we also tell the Client by email before it takes effect. If the Client does not accept a new version, it may cancel as section 17 describes.
25. Notices
We send notices to the Client's billing email, and we may also show them in the Service. The Client sends notices to us at support@aurumtech.in. A notice by email is received when it is sent, unless the sender learns it was not delivered.
26. Law and courts
These Terms are governed by the laws of India. The courts at Surat, Gujarat have exclusive jurisdiction over any dispute arising from them.
27. General
- These Terms, the documents they refer to and the Schedule are the whole agreement between us about the Service, and replace anything said or written before.
- If any part of these Terms is found unenforceable, the rest stays in force.
- The Client may not transfer these Terms to anyone else without our written consent. We may transfer them to a successor of our business, and we will tell the Client if we do.
- If either of us does not enforce a right at once, that does not mean the right is given up.

Schedule — Data processing
This Schedule applies to personal data within Client Data.
- Roles. Under the Digital Personal Data Protection Act, 2023 and its Rules, the Client is the Data Fiduciary for the personal data of its Employees and Users, and we are its Data Processor. Until those provisions apply, we handle the data as the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 require.
- Instructions. We process the personal data only on the Client's documented instructions. These Terms and the Client's use and settings of the Service are those instructions. If we believe an instruction breaks the law, we will tell the Client.
- Our staff. Only staff who need access for the Service or for support have it, and they are bound to keep the data confidential.
- Security. We keep reasonable security safeguards in place, as section 14 describes, to prevent a personal data breach.
- Sub-processors. We use these providers to run the Service: Amazon Web Services, which hosts the Service, its database and its backups in the Mumbai region, India; SMTP2GO, which delivers the emails the Service sends and may process them outside India; Razorpay, which processes payments of our invoices; and GoDaddy, which provides our domain name service and our mailbox. We will tell the Client before we add or replace a sub-processor that handles Client Data. The Client may object on reasonable grounds and, if we cannot resolve the objection, cancel.
- Requests from individuals. If an Employee or User asks us to access, correct or erase their data, we will pass the request to the Client and help the Client answer it. Much of this the Client can do directly in the Service.
- Breaches. If we become aware of a personal data breach affecting Client Data, we will inform the Client without undue delay, and in any case within 48 hours of becoming aware, with what we know at the time: what happened, what data and which people may be affected, and what we are doing about it. We will keep the Client updated and help it notify the Data Protection Board of India and the people affected.
- At the end. Client Data is made available for export and then deleted as section 17 describes, except what the law requires us to keep.
- Audits. On reasonable written request, once a year, the Client may ask us for information showing that we meet this Schedule, or arrange an audit at a time we agree. The Client bears its own cost, and anyone carrying out the audit must keep what they see confidential and must not see other clients' data.
- Biometric data. The Service does not store fingerprint, face or other biometric templates. The templates stay on the Client's own attendance terminals. The Service records only which finger positions an Employee has enrolled, and removes templates and photos from the device traffic it keeps.
